The constitutive documents of a JSC are its charter, or the foundation agreement and charter, or simply the foundation agreement. A foundation agreement is concluded among the founders to determine the process of establishing a Company.[1] A charter must contain the information specified by Stock Companies Act and other information not contrary to law.[2] Any alteration to the charter requires a supermajority of three-fourths of votes of participating shareholders. Within six months from the moment of registration, the Company must approve by-laws on each of its management bodies.[3]
